
Alaa Azmy is a Senior Associate in the firm’s Capital Markets and Corporate Department, with more than seven years of experience advising on capital markets, corporate transactions, mergers and acquisitions, restructuring, financial institutions, investment funds, securitization transactions, and banking deals.
He has extensive experience in capital markets matters, including the incorporation and licensing of non-banking financial institutions (NBFIs) such as consumer finance, leasing and factoring, mortgage finance, and microfinance companies. His practice includes conducting legal due diligence for mergers, acquisitions, securitization transactions, capital increases, and corporate restructurings. He is well-versed in drafting and negotiating a wide range of commercial agreements, facility agreements, and security documents, as well as handling company establishment and incorporation procedures before the relevant governmental authorities.
Mr. Azmy’s expertise extends to managing all corporate procedures before the General Authority for Investment and Free Zones (GAFI), the Financial Regulatory Authority (FRA), and other competent authorities. He has also advised numerous fintech companies on their incorporation, licensing, and ongoing regulatory compliance, in accordance with the regulations and decrees issued by the Financial Regulatory Authority.
His practice focuses on advising clients across diverse commercial sectors. He regularly drafts commercial contracts and legal memoranda and is actively involved in complex banking and syndicated loan transactions, where he negotiates term sheets, prepares facility agreements, and guides clients through transaction structuring and closing mechanics.
